CPALL Board Takes Stand to Preserve Subsidiaries Independence from Virtual Bank Integration

In a significant move for the Thai retail and financial landscape, CP ALL Public Company Limited (SET: CPALL) has announced that its Board of Directors has formally opposed a plan to integrate three of its key subsidiaries into a virtual bank venture led by ACM Holding Company Limited (ACMH), a subsidiary of the parent Charoen Pokphand Group (CPG).

During the Board of Directors’ Meeting No. 3/2026 held on 17 April 2026, disinterested directors resolved that Counter Service Co., Ltd., Thai Smart Card Company Limited, and CP Axtra Public Company Limited (SET: CPAXT) should not be included in ACMH’s financial business group. This decision aligns with the Audit Committee’s assessment that these entities are integral to CP ALL’s core operations, serving as vital mechanisms for generating revenue and maintaining the competitiveness of 7-Eleven stores.

The Board cited several critical concerns regarding the proposed restructuring, including potential regulatory complexities and limitations on operational flexibility. Since ACMH is a subsidiary of CP Group, the integration would be classified as a related-party transaction, raising questions about business neutrality and the protection of minority shareholder interests. The Board emphasized the necessity of adhering to principles of good corporate governance, transparency, and the stringent criteria set by the Bank of Thailand and the Ministry of Finance.

Despite the Board’s current stance, the matter will be put to a final vote by the company’s shareholders. CP ALL has scheduled Extraordinary General Meeting (EGM) No. 1/2026 for Friday, 29 May 2026, at 14:00 hrs. The meeting will be conducted entirely via electronic media through the IR Plus AGM Application. Investors should note that the record date to determine eligibility for attendance and voting is fixed for 5 May 2026.

To ensure transparency, the Board has appointed independent directors Mr. Padoong Techasarintr and Adjunct Professor Prasobsook Boondech to serve as proxies for those unable to attend. Furthermore, Mr. Korsak Chairasmisak and Mr. Tanin Buranamanit have been authorized to oversee the convening and management of the EGM.
