Dusit Thani Public Company Limited (SET: DUSIT) has postponed its Extraordinary General Meeting of Shareholders (EGM) No. 1/2025, originally scheduled for 4 December 2025, to 6 February 2026. The Chair of the Meeting made this decision following advice from the company’s legal counsel to allow time to receive guidance from the Securities and Exchange Commission (SEC) and the Trade Competition Commission (TCC), ensuring full transparency and proper consideration of all agenda items.
The review by the regulators relates to a recent letter submitted by a minority shareholder to both agencies regarding actions that may constitute coordination with other parties to gain control of the company without making a mandatory tender offer, as well as actions that may be considered a business merger that could lead to market dominance. Such activities would require approval from the TCC.
Given the seriousness of these matters, the postponement aims to safeguard shareholder rights and ensure the deliberation process proceeds fairly, openly, and in accordance with best governance practices.
The EGM will now be held on 6 February 2026 at 14:00 via electronic meeting (E-Meeting) only. The Record Date remains 10 September 2025. The meeting agenda includes proposals relating to an increase in the number of directors, the appointment of new directors, and updates to directors’ authority.

At the originally convened meeting on 4 December 2025, a total of 405 shareholders, representing 531,950,301 shares or 62.5823% of the Company’s total issued shares, were in attendance.
