Amarin Corporations Public Company Limited (SET: AMARIN) has announced the Notification of Receipt of the Announcement of Intention to Make a Tender Offer via the Stock Exchange of Thailand (SET).
AMARIN stated that on March 5, 2024, the company received the Announcement of Intention to Make a Tender Offer (Form 247-3) from Sirivadhanabhakdi Company Limited, which was held by Adelfos Company Limited in a portion of 99.9998, as the Announcer of Intention. Regarding the purchase of shares in the company, for a total amount of 78,919,921 ordinary shares, equivalent to 7.9056 percent of the company’s total issued shares, and paid up capital to the following persons:
- Mr. Rapee Utakapanfor, a total amount of 42,248,130 ordinary shares, equivalent to 4.2321 percent of the company’s total issued shares and paid up capital;
- Mrs. Metta Utakapanfor, a total amount of 36,671,791 ordinary shares, equivalent to 3.6735 percent of the company’s total issued shares and paid up capital;
The aforementioned transaction was executed through the Stock Exchange’s trading system, on the Big Lot trading board on March 5, 2024. This has resulted in the company’s shareholding structure for Adelfos Group, which is comprised of Vadhanabhakdi Company Limited, Siribhakditham Company Limited, and Sirivadhanabhakdi Company Limited, including Mr. Rapee Utakapan and Mrs. Metta Utakapan.
In addition, as a result of the adjustment in shareholding of AMARIN, Sirivadhanabhakdi Company Limited is obligated to make a mandatory tender offer to the remaining 178,547,217 shares, or 17.8% of the ordinary shares, with an expected offering price of THB 5 per unit, which accumulated to the offering amount of THB 892,736,085.
The share price of AMARIN this morning rose as much as 23% to THB 5.40 per share at the opening bell on Wednesday. As of 11:11 BKK Time, the share price is trading at THB 4.96 per share.
