AssetWise Public Company Limited (SET: ASW) stated that the company has purchased ordinary shares in Wise Estate 3 Co., Ltd. (WE3) at 49% of registered capital of WE3 from Takara Leben Co.,Ltd., a company listed on the Tokyo Stock Exchange, by purchasing back the shares according to the shareholders agreement to jointly invest in a project. The result of the purchase of such ordinary shares will cause WE3 to revert to being a subsidiary of the company.
WE3 has registered a capital worth THB 580 million, divided into 5,800,000 ordinary shares with a par value of THB 100 each. With ASW purchasing 2,842,000 ordinary shares, the company now holds 99.7% of WE3’s registered capital, while Takara Leben will no longer hold any of its shares. As for the remaining 0.3% of registered capital, it will remain with three shareholders, composed of Mr. Kromchet Vipanpong, Mr. Weerapan Wipanpong, and Ms. Paneeta Malaivongs, 0.1% each.
WE3 is a real estate company that was established in May 2021, with a registered capital of THB 1 million, comprising 10,000 ordinary shares with a par value of THB 100 per share. It remained as ASW’s subsidiary until January 2022, when the company sold 4,900 of its shares, or about the proportion of 49%, to Takara Leben to expand investment opportunities, extend and support in the real estate development business and projects of ASW.
