RATCH Increases Stake in ‘Ratchaburi Power’ to 40% as Part of Investment Scheme

RATCH Group Public Company Limited (SET: RATCH) has informed the Stock Exchange of Thailand that on 5 September 2025, Ratchaburi Alliances Company Limited (the Company’s 99.99 percent owned subsidiary) has signed the Agreement for the Sale and Purchase of Shares in Ratchaburi Power Company Limited (RPCL) with the Chubu Electric Power Company International B.V. (CHUBU) and Toyota Tsusho Corporation (TTC) to acquire shares in RPCL (the holder of assets of a cogeneration power plant with a contacted capacity of 1,400 MW (700 MW per unit) for 25-year Power Purchase Agreement with Electricity Generating Authority of Thailand which commenced commercial operation since 2008.)

The acquisition involves 11,445,313 shares or 15.625 percent, totaling $23.75 million (equivalent to approximately THB 774.42 million.) After the transaction is complete, the company’s indirect shareholding in RPCL would increase to 40.625 percent, which is in line with the company’s investment plan. However, the transaction will be complete only after all relevant conditions and/or requirements are fulfilled. The company will provide updates on the progress in due course.
