Thai Airways Set for Pivotal Address amid Board Restructuring and Shareholder Concerns

Thai Airways International Public Company Limited (SET: THAI) has issued an internal memo inviting all employees to attend a major company-wide address by CEO Chai Eamsiri. The session, themed “TG Family Talk: Perspectives and Key Directions from the DD,” is scheduled for 11:00 a.m. on October 14, 2025, at the Auditorium, 3rd Floor, Building 2, at the airline’s headquarters.

According to sources familiar with the matter, the CEO’s speech is being closely watched as a significant signal ahead of the appointment process for a new board of directors. Stakeholders expect management will use the occasion to outline strategies to unify staff and bolster confidence within the organization, a process that is likely to also impact investor sentiment.

Amid these developments, Mr. Chai is slated to take the stage again at a major annual industry seminar themed “The Victory Investment of War: The Triumph of Investment Strategies,” to be held on October 18 at the Stock Exchange of Thailand (SET). Observers see this as another opportunity for the CEO to share his vision for the company’s future direction and to address pressing issues for investors and shareholders.

Meanwhile, shares of Thai Airways tumbled sharply on Friday, October 10, closing at THB 10.90, a 5.22% drop with a trading value of THB 1.66 billion. The decline followed concerns about possible state intervention in the upcoming selection of a new board, after a proposal surfaced calling for an urgent Annual General Meeting (AGM) to increase the number of directors from 11 to 15.

Permanent Secretary of the Ministry of Finance Lavaron Sangsnit, who also chairs the airline’s board, stated that expanding the board is necessary to enable the establishment of key subcommittees. He affirmed that all directors are experienced professionals who operate transparently and prioritise the company’s best interests.

CEO Chai Eamsiri further clarified that preparations for the 2025 AGM are proceeding in accordance with public company law. He noted shareholders will be able to nominate board candidates transparently and fairly, emphasizing that every aspect of the process seeks to protect the company’s stability and the rights of all shareholders.

Thai Airways’ board is scheduled to convene on Thursday, October 23, to deliberate on the makeup of the new board and ratify the agenda for the upcoming AGM. This meeting is expected to provide further direction on management priorities and potential structural changes.

The current board is composed of 11 members, including Mr. Lavaron Sangsnit as chairman, Dr. Kulaya Tantitemit, Mr. Piyasvasti Amranand, Mr. Chansin Treenuchagron, and CEO Chai Eamsiri. Market observers anticipate that the future selection process could bring structural adjustments to support the next phase in the carrier’s business recovery.
