AWC Targets February 2027 Debut for THB43 Billion Freehold REIT IPO, Reaffirms Special Dividend

Asset World Corp Public Company Limited (SET: AWC) is preparing to launch AWC Lifestyle Property Real Estate Investment Trust (AWR), marking the largest REIT Initial Public Offering (IPO) in Thailand’s capital market history to be launched in February 2027.

Speaking at an exclusive discussion, Mrs. Wallapa Traisorat, CEO and President of AWC, outlined AWR’s investment framework designed to offer domestic and international investors exposure to high-quality, cash-generating hospitality and commercial assets backed entirely by prime freehold real estate.

Strong Investment Yields and 100% Freehold Security

AWR debuts with a portfolio comprising five 100% freehold landmark properties: Banyan Tree Krabi, Banyan Tree Koh Samui, Meliá Koh Samui, Pattaya Marriott Resort and Spa, and The Empire, Bangkok’s premier CBD lifestyle commercial tower. The 100% freehold tenure eliminates lease expiry risks, offering enduring unitholder security and long-term land appreciation.

AWR offers an attractive distribution per unit (DPU) yield estimated between 5.44% and 6.51% for 2027E (with a baseline target around 5.6%), distributed quarterly. Combining distribution yield with property capital appreciation, the trust projects a total return of 13.39% to 14.91% (~13.6% for 2027E). Over the past two years, the initial portfolio achieved a robust 20% annual EBITDA growth rate.

Conservative Leverage and Special Dividend Catalyst

AWR features a disciplined capital structure with an initial gearing ratio of 20% at listing—well below regional REIT averages. Management plans to cap leverage at 35%, creating roughly THB 10 billion (USD 300 million) in borrowing headroom. This flexibility enables AWR to fund future yield-accretive property acquisitions without equity dilution.

In a key catalyst for AWC shareholders, the parent company expects to declare a special dividend next year following transaction completion, allowing shareholders to participate directly in the capital unlocked from the REIT monetization.

Robust ROFR Pipeline and World-Class Governance

Long-term growth will be driven by AWC’s Right of First Refusal (ROFR) pipeline, covering nine high-end to ultra-luxury properties comprising approximately 3,100 keys. Pipeline assets include Marriott Marquis Queen’s Park, Bangkok Marriott Hotel The Surawongse, The Ritz-Carlton Phuket Resort and Spa, Fairmont Bangkok Sukhumvit, Phuket Marriott Resort and Spa Nai Yang Beach, InterContinental Chiang Mai The Mae Ping, Kimpton Hua Hin, Asiatique The Riverfront, and The Hotel Plaza Athenee Nobu Bangkok. AWR intends to acquire one to two proven, DPU-accretive assets annually.

To ensure unitholder alignment, AWR adopts an international governance framework featuring 60% independent director representation jointly appointed by the trustee, alongside DPU growth-linked management fees.

With an implied market capitalization of THB 43 billion at a potential THB 10 offer price and a 72% free float (THB 31 billion), AWR will deliver premier market liquidity. Subscription is anticipated around January, with trading targeted for February 10 in the Thai stock market.
