Betagro Public Company Limited (SET: BTG) has informed the Stock Exchange of Thailand that the Board of Directors’ Meeting No. 7/2026, held on July 15, 2026, approved Hobby Farmers Company Limited (Hobby Farmers), an indirect subsidiary in which the company holds a 99.99% shareholding, to make an offer to acquire the preferred shares and ordinary shares of Polar Bear Mission Company Limited (Polar Bear) from its existing shareholders.
As of 19 October 2026, BTG has reported that Hobby Farmers held a 59.18% shareholding in Polar Bear, resulting in Polar Bear becoming an indirect subsidiary of the company.
Polar Bear operates an online food supply platform for hotel, restaurant, and catering (HORECA) businesses and household customers. The subsidiary has a total registered capital of THB 7,821,600 (78,216 shares in total), of which the company directly holds 8.87% of the shares, Hobby Farmers holds 59.18% of the shares, while the remaining 31.95% of the shares are held by other shareholders.
The objective of this transaction was to expand the company’s business through online channels.
