GMM Grammy Public Company Limited (SET: GRAMMY) has announced a significant change in its major shareholder structure according to the report of acquisition or disposal of securities (Form 246-2). This follows a filing by Ms. Hathairat Jurangkool and Mr. Thaveechat Jurangkool submitted to the Office of the Securities and Exchange Commission (SEC) on May 19, 2025.
The change resulted from Mr. Thaveechat Jurangkool sold 94,558,000 common shares of the company, equivalent to 11.5321% of total shares, to Ms. Hathairat Jurangkool. As a result, Ms. Hathairat’s shareholding increased from 13.1502% to 24.6824%, while Mr. Thaveechat’s holding decreased from 16.4321% to just 4.9000%.
The company has confirmed that this alteration in major shareholding structure will have no impact on business policies, management structure, the board of directors, or executive teams. Additionally, the transaction does not trigger a mandatory tender offer according to SEC regulations. The company’s management authority remains unchanged.
