Thai Airways’ New Board Given Green Light as Civil Court Lifts Injunction

Thailand’s Civil Court has lifted a temporary injunction, enabling Thai Airways International Public Company Limited (SET: THAI)’s newly appointed board of directors to assume their roles with immediate effect.

The decision follows a legal challenge filed by five shareholders who sought to annul a resolution passed at the airline’s 2025 Annual General Meeting.

The litigation, which named Thai Airways as the defendant, prompted the court to issue a temporary protective order suspending the effectiveness of the AGM’s resolutions. However, after a hearing on January 6, 2026, the Civil Court revoked this order, reinstating the AGM’s decisions, including the expansion and appointment of the new board.

With the injunction removed, the number of Thai Airways board members is increased from 11 to 15, in accordance with the AGM’s resolution. The full board is as follows:

  11. Mr. Vachara Tuntariyanond, Independent Director
  12. Mr. Rapee Sucharitakul, Independent Director
  13. Dr. Veerathai Santiprabhob, Independent Director

Mr. Chai Eamsiri stated that, as the court has annulled the temporary order, the new board can resume duties as normal.

Previously, the injunction had prevented the board from proceeding with key company plans, including aircraft procurement and finalizing contracts for the U-Tapao maintenance, repair, and overhaul (MRO) center with the Eastern Economic Corridor Office.

These matters, initially slated for agreement signing on January 7, 2026, will now be tabled at an upcoming board meeting for swift action.
