On Wednesday, Com7 Public Company Limited (SET: COM7) announced via the Stock Exchange of Thailand (SET) regarding the clarification on the transaction of securities and notification of change in major shareholders. The details are as follows:
Pursuant to the request from the Stock Exchange of Thailand for cooperation from Com7 Public Company Limited (the Company) to clarify the transaction of securities of Plan B Media Public Company Limited, conducted through the SET and/or other methods deemed appropriate in accordance with the applicable laws and regulations of the Office of the Securities and Exchange Commission (SEC) and the SET, which was disclosed through the SET on 30 June 2026, in the amount of 263,000,000 shares (representing 11.01 percent of the paid-up capital of the Company), resulting in a change in the shareholding structure of the Company’s major shareholders, the Company has verified the information with the largest shareholder, Surach Kanitwikul, and received confirmation that the largest shareholder and all members of the Company’s Board of Directors did not sell any shares in connection with the said transaction.
However, should the Company receive any report of the acquisition or disposition of securities of the business (Form 246-2) relating to the said transaction, or any additional relevant information, the Company will inform accordingly.
In this regard, the aforementioned change in the major shareholding structure has no impact on the Company’s control, management structure, including the determination of the Company’s business operation policies in any respect.
Furthermore, the acquisition of the Company’s ordinary shares as described above shall not oblige Plan B Media Public Company Limited to make a mandatory tender offer for all securities of the Company, since the acquisition of such shares does not trigger the requirements to make a tender offer for all securities of the business under the Notification of the Capital Market Supervisory Board No. TorJor. 12/2554 Re: Rules, Conditions and Procedures for the Acquisition of Securities for Business Takeovers (as amended).
