Jasmine International Public Company Limited (SET: JAS) convened its Extraordinary General Meeting of Shareholders No. 1/2026 on Friday, February 6, 2026, at the Jasmine International Tower on Chaeng Watthana Road. The meeting was held via electronic means (e-Meeting or e-EGM) in accordance with the Royal Decree on Teleconferences through Electronic Means B.E. 2563 (2020) and other relevant laws and regulations. At the meeting, shareholders approved all agenda items as proposed by the Board of Directors, including the approval of a related party transaction involving an advisory and content system service agreement for the dissemination of the English Premier League content in Vietnam.
Dr. Soraj Asavaprapha, Chief Executive Officer of Jasmine International Public Company Limited (JAS), stated that Jasmine International (Hong Kong) Limited (JAS HK), a subsidiary of JAS, has secured additional broadcasting rights for live Premier League matches in Vietnam. Subsequently, JAS HK engaged Mono Streaming Company Limited, the operator of the “Monomax” platform and a subsidiary of Mono Next Public Company Limited (SET: MONO), to act as an advisor and service provider for the deployment of the Premier League content distribution system in Vietnam.
The scope of services covers broadcast technical operations as well as strategic marketing and public relations consultancy, all in compliance with the standards of the Football Association Premier League Limited. The engagement period is approximately five and a half years, or five and a half seasons, commencing on January 1, 2026. The contract covers part of the 2025/26 season and the full seasons of 2026/27, 2027/28, 2028/29, 2029/30, and 2030/31. The agreements include audiovisual exploitation rights, services related to audiovisual exploitation, and the utilization of Premier League highlight videos in Vietnam. Additional responsibilities include the development and management of data connectivity systems, subscriber base reporting, and acting as an intermediary to coordinate between the rights holder and the local content distributor in Vietnam.
Jasmine International Public Company Limited (JAS) and Mono Next Public Company Limited (MONO) share the same major shareholder, Mr. Pete Bodharamik. Accordingly, the transaction is classified as a related party transaction under the notifications of the Capital Market Supervisory Board and the Stock Exchange of Thailand. The total transaction value is approximately USD 15 million, or approximately THB 479,955,000. This represents 4.90 percent of the net tangible assets of the Company and its subsidiaries, based on the consolidated financial statements reviewed for the third quarter of 2025, ended on September, 30 2025.
