KKPS Reiterates ‘Buy’ on ITC Following US Acquisition, Projects Gradual Synergies Amid Premium Foothold Expansion

Kiatnakin Phatra Securities (KKPS) wrote that i-Tail Corporation (SET: ITC) has completed the acquisition of 100% of Pet Treat Holdings, the parent company of the U.S.-based OEM and private-label dog-treat manufacturer Phelps, for $160 million. The transaction was funded through internal cash resources.

The brokerage views the acquisition as strategically neutral due to its demanding valuation: the earnings yield of 3.7% is higher than ITC’s 2.5% return on cash lent to its parent, but the acquisition price implies a 2026 P/E of 27x and an EV/EBITDA of 11.4x.

The deal grants ITC entry into the larger U.S. dry dog-treat market and access to American manufacturing capabilities, but near-term earnings are expected to be diluted by THB 60 million in one-off expenses in 4Q26.

ITC management has identified three main synergies from the acquisition: commercial expansion, manufacturing optimization, and cost efficiencies. The most direct synergy is cross-selling, as ITC’s wet pet-food business and Phelps’ dog-treat business have limited customer overlap. However, the realization of these synergies is likely to be gradual, given the distinct product expertise between the two companies.

Potential procurement and cost synergies are modest, and there is limited opportunity for workforce rationalization due to differences in raw materials and production processes.

Phelps reported $70.3 million in revenue for 2025, with a 9.5% operating margin and $4.6 million in net profit. ITC’s repayment of Phelps’ debt should save about $1 million annually in interest expense. Consolidation will commence in 4Q26, with a net profit contribution estimated at THB 50 million for 2026 before one-off costs, and THB 214 million in 2027—about 5.5% of ITC’s estimated earnings.

Phelps’ gross margin of 16.4% is below ITC’s 25%, pointing to some margin dilution, but with only 50% capacity utilization, there is potential for operating leverage without the need for major capital expenditure in the near term.

Despite the limited short-term financial benefit from the acquisition, ITC secures a new business foothold in the expanding U.S. premium pet-treat sector. KKPS maintains a ‘Buy’ call on ITC, with a target price of THB 18.70 per share, citing its attractive valuation at 13.3x 2027 P/E and a prospective dividend yield of 6.4%.
